Kebijakan tersebut hanya berlaku untuk sektor UMKM (Usaha Mikro Kecil dan Menengah) dan dapat tertuang dalam Peraturan Pemerintah Nomor 29 tahun 2016 tentang Perubahan Modal dasar PT. 3. Penentuan Domisili Usaha Setelah penentuan modal selesai, hal selanjutnya yang harus Anda lakukan adalah menentukan domisili usaha Anda dengan mendapatkan Surat Keterangan Domisili Perusahaan (SKDP). Tentu saja hal ini membutuhkan biaya yang tidak rendah mengingat Anda harus menyewa gedung, ruang kantor, atau bahkan membelinya (sesuai kebutuhan masing-masing). Ketentuan untuk memiliki keterangan mengenai domisili ini berbeda-beda sesuai dengan daerah yang diinginkan. Jika Anda berencana membangun PT di daerah DKI Jakarta atau kawasan industri karawang misalnya, maka Anda harus mengacu pada Peraturan Daerah DKI Jakarta Nomor 1 Tahun 2014 tentang Rencana Detail Tata Ruang dan Peraturan Zonasi. Jika Anda berada di daerah Tangerang dan Bogor misalnya, pemerintah kota memberikan izin penggunaan rumah sebagai domisili usaha sampai batasan tertentu. Kemudian untuk daerah Depok, Anda harus mengantongi Surat Izin Mendirikan Bangunan (IMB) dan menggunakan bangunan bukan rumah. Namun kabar baiknya aturan baru pemerintah saat ini memperbolehkan pengajuan PT dengan bertempat di Co-Working Space. Inilah yang menjadi angin segar bagi pelaku StartUp. 4. Penentuan Bidang Usaha Langkah selanjutnya adalah menentukan bidang usaha sesuai dengan KBLI (Klasifikasi Baku Lapangan Usaha Indonesia) dan kode bidang usaha. Kode yang digunakan akan dicantumkan dalam SIUP (Surat Izin Usaha Perdagangan) dan TDP (Tanda Daftar Perusahaan) yang perizinannya diurus di daerah bersangkutan. 5. Pemilihan Nama Perusahaan Pada Tahap ini, Anda harus menyediakan opsi nama untuk dicek oleh notaris. Proses ini akan mengkonfirmasi apakah nama yang diajukan bisa digunakan atau harus menggunakan nama baru untuk diajukan kembali. Pilihlah nama-nama yang unik dan segar, cobalah berfikir diluar biasanya, cari nama yang sangat aneh, sehingga orang akan cepat ingat. Contoh nama PT StartUp yang sudah terkenal PT. Aplikasi Karya Anak Bangsa (GO-JEK), PT. Raksasa Laju Lintang (RALALI), PT. Fliptech Lentera Inspirasi Pertiwi (FLIP.ID), PT. Trinusa Travelindo (TRAVELOKA), dsb. Dilarang menggunakan kata bahasa asing, jika nama yang Anda usulkan sangat unik, boleh menggunakan 2 kata saja. Untuk cek nama sudah dipakai atau belum silahkan klik: DITJEN AHU Pencarian Perusahaan. Jangan memilih nama Perusahaan persis seperti nama produk, karena jika suatu saat nama produk ganti atau membuat produk baru akan membuat Anda kesulitan karena nama PT tidak bisa diganti. 6. Pembuatan Draft Akta Setelah Nama sudah dinyatakan bisa digunakan, notaris akan membuat draft Akta atas nama PT yang sudah disetujui tadi. Biasanya Anda akan mendapatkan draft awal untuk direvisi sebelum proses tanda tangan Akta di hadapan notaris. 7. Tanda Tangan Setelah draft akta sudah direvisi, maka Akta akan ditandatangani oleh pemilik saham perusahaan di hadapan notaris. Normalnya setiap pemegang saham diwajibkan untuk ikut dan menandatangani Akta. Jika Pengurus perusahaan bukan pemegang saham, tidak perlu untuk hadir di bagian ini. 8. Pengesahan di Kementerian Hukum dan HAM Notaris akan mengurus pengesahan atas Akta yang baru ditandatangani untuk disahkan di Kementerian Hukum dan Hak Asasi Manusia. Pengesahan akan menghasilkan dokumen yang disebut SK Kemenkumham. Tanpa dokumen ini, maka Akta tidak akan dianggap sah secara hukum. Setiap perubahan yang dilakukan di Akta memerlukan SK yang baru untuk mengesahkan perubahan yang dibuat. Akta berlaku seumur hidup, namun masa berlaku pengurus perusahaan hanya berlaku maksimal 5 tahun. Hal ini membutuhkan Akta untuk diperbaharui dan disahkan ulang minimal setiap 5 tahun. 9. Membuat dan Mendaftarkan BPJS Ketenagakerjaan untuk PT Tidak hanya karyawan, melainkan Anda juga harus mendaftarkan BPJS Ketenagakerjaan untuk PT. Pasalnya hal ini merupakan persyaratan untuk mengurus perizinan lain seperti SKDP (Surat Keterangan Domisili Perusahaan). Agar tidak menghabiskan waktu banyak, Anda bisa mengurus pendaftaran ini secara online. 10. Membuat NPWP Perusahaan dan Direktur Selain BPJS Ketenagakerjaan, PT juga membutuhkan NPWP (Nomor Pokok Wajib Pajak) baik untuk perusahaan maupun Direktur bersangkutan. Sesuai dengan ketentuan yang baru, pada NPWP Direktur harus tercantum NPWP pribadi serta alamat yang tertera di data NPWP pribadi Direktur tersebut. Pastikan agar Direktur bersangkutan tidak memiliki tunggakan pajak. NPWP Perusahaan dibuat sebagai sarana administrasi perpajakan perusahaan. NPWP biasanya diurus oleh KPP (Kantor Pelayanan Pajak). NPWP bisa langsung diajukan setelah Akta sudah disahkan oleh Kemenkumham. NPWP Perusahaan berlaku seumur hidup kecuali jika ada perpindahan domisili perusahaan. 11. Pembuatan SIUP dan TDP SIUP atau Surat Izin Usaha Perdagangan adalah dokumen perizinan yang melegalkan suatu perusahaan untuk melakukan kegiatan perdagangan. Biasanya SIUP berisi 3 bidang usaha utama sesuai klasifikasi KBLI yang dijalankan Perusahaan tersebut. Bidang Usaha yang tidak tercantum di dalam SIUP masih bisa dijalankan oleh si Perusahaan selama bidang Usaha tersebut masih tercantum di Akta Perusahaan. Sedangkan TDP adalah tahapan akhir dari perizinan umum Perusahaan. TDP atau Tanda Daftar Perusahaan adalah salah satu bukti bahwa Perusahaan telah melakukan wajib daftar perusahaan. Sebagian daerah di DKI bisa mendaftarkan SIUP dan TDP secara paralel. TDP biasanya diisi oleh satu bidang usaha yang paling utama di SIUP. |
